PROPOSED MODEL · FOR EXPLANATION ONLY

Explore group investment.

Understand how a proposed group could assess, acquire and prepare a property under a lawful structure and agreed written terms.

GADTAN’s proposed approach is to assess a potential land or project acquisition before it is brought to buyers. If a lawful group-participation structure is established, investors would join under written terms before contributing funds. The identified entity would then acquire the asset, prepare the project and distribute available proceeds according to those terms.

This explains a proposed business model, not an invitation to contribute money. Group pooling may fall within SEBI’s collective-investment rules or other regulated structures. The permitted legal route and any required approvals must be confirmed before funds are solicited or accepted. A signed agreement alone does not make a scheme lawful or capital safe.

01 / 08

Assess the land or project first

Identify the proposed asset, seller, title position, access, planning context, expected acquisition costs and commercial feasibility. Before a completed acquisition, it remains a target asset; it must not be presented as land already owned by GADTAN or the investor group.

02 / 08

Establish the permitted group structure

Obtain specialist Indian legal and regulatory advice on the actual arrangement, including pooling, securities and deposit restrictions where relevant. Confirm the named entity, eligible participants and any permissions required before approaching participants or receiving funds. Calling it a group or a project company does not decide its legal classification.

03 / 08

Agree the terms when each investor joins

Before a commitment or payment, the investor should receive and independently review the formal documents. These should identify their contribution, instrument or interest, use of funds, fees, loss allocation, information rights, decision-making, exit conditions and distribution priorities. Any additional-capital obligations must be explicit.

Set out what happens if the land cannot be bought or the plan cannot proceed: conditions, deadlines, permitted expenses, any refundable balance and who bears costs. Do not assume all contributions can always be returned.

04 / 08

Record and control any lawful contributions

Only after the legal conditions are satisfied should any agreed funding proceed through the documented banking route to the authorised recipient. Contributions and their permitted use need clear records and controls. The specific account arrangements must be verified, not assumed to be escrow or insured.

05 / 08

Complete the purchase and establish ownership

The legal owner is the person or entity in whose favour the acquisition is validly completed and title is established under the applicable documents and law. Investors’ economic or ownership rights come from their actual structure and documents; contributing to a company does not automatically put each investor’s name on the land title.

06 / 08

Prepare the project before bringing it to market

Work through the applicable planning, development and project-registration requirements. For projects within RERA’s registration requirement, section 3 requires registration before advertising, marketing or offering plots or units for sale. Acquisition and investor agreements do not replace these requirements.

07 / 08

Account for receipts and distribute under agreed terms

A market launch is not itself a profit or a payout event. Track actual project receipts and the costs, debt, taxes and reserves that must be met. Capital return and profit distribution should follow the lawful, agreed payment priority and each investor’s documented entitlement, only when funds are available for distribution.

If the project loses money or obligations exceed available proceeds, investors may receive less than their contribution or lose it. An agreed profit percentage does not guarantee that a profit will exist.

08 / 08

Report the outcome and treat the next project separately

Provide the reporting and settlement information required by the agreement and applicable law. Reconcile amounts contributed, costs, capital returned and any profit distributed. A further project requires its own assessment and the investor’s fresh decision; it should not be treated as automatic reinvestment.

What must be settled before an investor joins

Who receives the money; what the investor legally holds; the permitted use of funds; who owns the land after acquisition; all charges and related-party payments; reporting and control rights; treatment of losses; acquisition-failure terms; payment priority; capital-return and profit-sharing rules; exit and dispute procedures.

Ask about the proposed process

You can ask for an explanation of the model. This website does not collect group contributions or offer a subscription. A lawyer-reviewed structure and transaction-specific documents are needed before any lawful participation can proceed.
